Elon Musk's salary package is being legally examined: a fight over shareholder rights.

Elon Musk's lawyers want the judge to cancel her order about Musk's big pay package at Tesla. The judge had said that the pay package, which could be worth a lot of money, was not made fairly.

After the judge's decision, Tesla shareholders voted again and agreed to give Musk the big pay package. Musk's lawyers say this vote means the shareholders want Musk to have the money, even if there were problems with how it was decided at first.

However, the judge doesn't agree with Musk’s lawyers and says there’s no rule that lets shareholders overrule a court decision like this. This situation is new, and there's no example of it happening before.

Lawyers for Tesla and some shareholders argue that shareholders should have the final say because they own the company. They believe that letting one shareholder's lawsuit win would be unfair to the majority who voted for the pay package.

But, the lawyer for the shareholder who sued says the June vote shouldn't count because it goes against how things are done in Delaware courts. He wants the judge to make a final decision based on the evidence from the trial and not consider the later vote by shareholders.
